Terms of Service

Effective date: September 19, 2026. These Terms of Service ("Terms") are a binding agreement between you and the operator of Vemzio ("Vemzio", "we", "us") governing your access to and use of vemzio.com, its dashboard, marketplace, verification services, and related APIs (collectively, the "Service"). By creating an account or using the Service you accept these Terms. If you do not agree, do not use the Service.
1. Definitions
- Builder / Seller: a user who lists an asset, product, or service on the marketplace.
- Buyer: a user who purchases or commits to purchase a listing.
- Listing: any item offered through the Service — a SaaS project, startup, domain, template, guide, or course.
- Escrow: payment handling performed through third-party providers (e.g., Stripe Connect) under the separate Escrow Agreement.
- Verified metrics: revenue figures pulled directly from a connected merchant-of-record account (Stripe, Polar, Lemon Squeezy, etc.) via read-only access.
2. Eligibility & Accounts
- You must be at least 16 years old and legally able to enter contracts. If you use the Service on behalf of a company, you represent that you have authority to bind it.
- Accounts are created with a username and password. Usernames must be 3–24 characters and may contain lowercase letters, numbers, and underscores. We may reserve or reclaim usernames (including trademarks reported to us).
- You are responsible for the confidentiality of your password and for all activity under your account. Password recovery is not available at this stage — treat your credentials accordingly. Notify us immediately of any unauthorized access.
- One person or legal entity may not maintain multiple accounts to evade limits, bans, or fees.
3. The Service
Vemzio provides: (a) public builder profiles and link-in-bio pages at vemzio.com/<username>; (b) revenue verification by connecting merchant-of-record accounts with read-only credentials; (c) a marketplace for buying and selling digital businesses and assets; (d) escrow-mediated transactions; (e) a jobs board; and (f) a technical community feed. We may add, change, or remove features at any time; material adverse changes to paid features will be communicated in advance where reasonably possible.
4. Marketplace Listings — Seller Obligations
- You must own or be legally entitled to transfer what you list, and your listing must accurately describe the asset: price, metrics, revenue, technology, and included deliverables.
- Metrics must be real. If you display figures as "Verified", they must originate from a connected provider account. Self-reported figures must be labeled as such. Inflating or fabricating metrics is grounds for immediate removal and forfeiture of escrow protection.
- You must be able to deliver the asset as described: repository access, domain transfer with auth code, files, licenses, and reasonable post-sale handover assistance (as stated in your listing).
- You may not list assets that infringe intellectual property, violate third-party terms (hosting, APIs, licenses), contain malware, or are illegal in the buyer's or seller's jurisdiction.
- Prohibited listings include, without limitation: adult content businesses, gambling, weapons, drugs, counterfeit goods, deceptive MLM/promise-based income schemes, and assets built on platform-tos-violating automation.
5. Buyers
- Buyers are responsible for due diligence. Verified metrics reduce — but do not eliminate — risk: verification reflects data from the connected account at sync time and is not an audit, valuation, or warranty of future performance.
- Purchase agreements are formed between buyer and seller. Vemzio is a venue and escrow coordinator, not a party to the sale, except for the payment-handling obligations described in the Escrow Agreement.
6. Escrow Transactions
Marketplace payments are processed through third-party escrow and merchant-of-record infrastructure. The mechanics — funding, delivery, inspection windows, release, disputes, and chargebacks — are governed by the Escrow Agreement, which forms part of these Terms.
7. Revenue Verification
- When you connect a provider (e.g., Stripe OAuth read-only), you grant Vemzio a limited, revocable, read-only authorization to retrieve revenue metrics for display on your profile and listings.
- We store credentials encrypted at rest (AES-256-GCM) and use them solely to sync the metrics shown to you and the public. You may disconnect at any time from your dashboard or the provider's own settings; disconnecting removes the "Verified" status going forward.
- We do not move money using verification credentials, and we never request write scopes.
- Verified badges are a factual snapshot, not an endorsement. You must not screenshot, crop, or otherwise misrepresent verification status elsewhere.
8. Fees
- Creating an account, claiming a slug, posting a job, and listing an asset are free unless expressly stated.
- Escrow marketplace: a platform fee (currently displayed as 1% of the transaction at close) applies to completed sales through escrow, plus any payment-processor fees charged by third parties. Digital products may carry a separate fee displayed at checkout.
- We may change fee schedules with prospective effect; the version in force at the moment a transaction closes governs that transaction.
- You are responsible for your own taxes. Sellers are responsible for income arising from sales; Vemzio (or its merchant of record, where applicable) handles applicable transaction taxes on purchases where required by law.
9. Acceptable Use
You agree not to:
- Interfere with the Service — scraping at abusive rates, probing, vulnerability testing without authorization, or circumventing rate limits and authentication.
- Misrepresent identity, affiliation, or metrics; impersonate other builders; or operate accounts through bots.
- Use the Service to transact outside escrow for marketplace assets in order to evade fees, then dispute the deal — this voids Vemzio's protections for both parties.
- Upload unlawful, defamatory, harassing, or infringing content anywhere on the Service, including community posts and job listings.
- Post jobs that are not real openings, require unpaid "trial" work, or violate wage and labor laws.
10. User Content & License
You retain ownership of content you submit (listings, posts, profiles, comments). You grant Vemzio a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and distribute it solely to operate and promote the Service — including in public profiles, marketplace pages, and feeds. You are responsible for having the rights to what you submit. We may remove content that violates these Terms.
11. Digital Purchases
Templates, guides, and courses are delivered through the Service. Unless the seller states otherwise, digital purchases are licensed (not sold) for the buyer's use consistent with the listing description, and are generally non-refundable once delivered, except where escrow inspection or applicable law provides otherwise. Sellers must honor the delivery and support terms stated in their listings.
12. Suspension & Termination
- You may close your account at any time. Sections that by their nature survive (fees owed, licenses, disclaimers, liability limits) continue to apply.
- We may suspend or terminate accounts that breach these Terms, create legal exposure for us or users, or engage in fraud. Where feasible, we will notify you and state the reason.
- If an account with active escrow obligations is terminated, the escrow terms continue to govern those transactions until completion or resolution.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that verification data is complete or current at all times, or that listings are accurate — verification and badges notwithstanding. Nothing on Vemzio is investment, legal, or tax advice.
14. Limitation of Liability
To the maximum extent permitted by law, Vemzio and its team will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) the fees you paid to us through the Service in the 12 months preceding the claim, or (b) USD 100. This limitation does not apply to fraud, willful misconduct, or anything that cannot be limited by law. Escrow-specific payment liability is further described in the Escrow Agreement.
15. Indemnification
You will defend and indemnify Vemzio against claims, damages, and reasonable costs arising from your content, your listings or purchases, your breach of these Terms or law, and disputes between you and other users — except to the extent caused by us.
16. Disputes Between Users
Vemzio may, but is not obliged to, mediate marketplace disputes, hold escrow pending resolution, or make determinations under the Escrow Agreement. If you sue another user over a transaction, you pursue that user, not Vemzio, except where our own fault is established.
17. Governing Law & Venue
[Operator to set: e.g., "These Terms are governed by the laws of England and Wales / the State of Delaware, without regard to conflict-of-law rules. Courts located in [jurisdiction] have exclusive jurisdiction."] Pre-arbitration: the parties will attempt good-faith resolution for 30 days after written notice. Class actions are waived to the extent enforceable.
18. Changes to These Terms
We may update these Terms. Material changes will be announced on the Service (dashboard notice or email if available) at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
19. Entire Agreement
These Terms, the Privacy Policy, the Cookie Policy, and the Escrow Agreement form the entire agreement between you and Vemzio regarding the Service and supersede prior understandings.
